simplido Terms of Service

Welcome to simplido! These Terms of Service ("Terms") govern your access to and use of the simplido application (available as a Web Application and native mobile applications for iOS and Android), website, and associated services (collectively, the "Service" or "Application").

The Service is operated by Sorcery Studio Grzegorz Godlewski, based in Poland ("Sorcery Studio", "Operator", "we", "us", or "our").

By registering an account or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such an entity to these Terms.

1. Definitions

To ensure complete clarity throughout this document, the following defined terms apply:

  • "Account" means the personalized user profile created in the Application upon registration, identified by a unique email address, and protected by authentication credentials.

  • "User" or "You" means any individual or entity accessing or using the Service, including B2C and B2B consumers.

  • "User Content" means all content such as, but not limited to, tasks (actions), projects, goals, areas of focus, notes, items, files, and data created, uploaded, organized, or stored by you within the Application.

  • "Free Plan" means the basic, non-paid operational mode of the Service with limited advanced features to which an Account automatically transitions following the expiration of an active paid Subscription.

  • "Pro Plan" means the premium, paid plan removing the limitations of the Free Plan, providing access to advanced productivity tools, guided maintenance, additional content, and features.

  • "Subscription" means a recurring paid access plan to Pro Plan selected on a monthly or annual billing cycle.

  • "Pricing Schedule" means the current rates, billing frequencies, and feature allocations for Free Plan and Pro Plan as displayed on our website or within app store listings.

2. Eligibility and account registration

  1. Eligibility: You must possess a valid email address and a compatible device to use the Service. Valid email means an address that’s reachable for mail and has been confirmed using an activation link.

  2. Registration: To access the Service, you must register an Account by providing accurate, current, and complete information. You agree to update your information promptly if it changes.

  3. Account Security: You are solely responsible for maintaining the confidentiality of your Account login credentials (username/password or third-party OAuth logins) and for all activities that occur under your Account. You must notify us immediately upon suspecting any unauthorized access or security breach.

  4. Account Scope: Subscriptions and Accounts are non-transferable and may not be shared with individuals outside your immediate household or enterprise.

3. Technical Requirements, offline mode, and data security

  1. System Requirements: Proper operation of simplido requires an internet connection, a supported web browser (for Web App), or an officially supported mobile operating system (iOS or Android).

  2. Offline-First Functionality: The simplido mobile application supports offline operations (offline-first). Content created or modified while offline is stored locally on your device and will synchronize with our servers upon re-establishing an active internet connection.

  3. Data Encryption: User Content stored within simplido’s backend servers is encrypted at rest using a managed encryption key and transmitted over encrypted channels (SSL/TLS). Detailed procedures regarding data access and security infrastructure are outlined in our Privacy Policy.

4. Subscription model and free tier downgrade

  1. Upgrade to Pro Plan: You can purchase a paid Subscription at any time. We offer a free-of charge trial period for each subscription at the end of which you will be charged with the amount agreed to when starting the trial.

  2. Downgrade to Free Plan: If your active Subscription faces payment issues and we won’t be able to renew your subscription, it will transition to a grace period of 7 (seven) days during which we will notify you about the reason. After the grace period, if we will still not be able to renew your subscription due to payment issues not being resolved, your Account will automatically downgrade to the Free Plan.

  3. No Data Loss Guarantee: Downgrading to the Free Plan does not result in the deletion or loss of your User Content. All User Content created during the active Subscription remains intact and accessible, though access to specific PRO-only workflow features will be restricted until a PRO Subscription is activated.

  4. Data Export: You maintain the right to export your User Content (e.g., in JSON or CSV format) at any time, regardless of whether your Account is on the Free Plan, or Pro Plan.

5. Subscriptions, billing, and in-app purchases

  1. Billing Cycles: Paid Subscriptions to Pro Plan are billed in advance on a recurring basis (monthly or annually) according to your selection.

  2. Payment Processing:

    • Web / Desktop Purchases: Payments are processed securely via our third-party payment processor, Stripe.
    • Mobile App Purchases: Payments made within native mobile apps are processed directly by Apple App Store or Google Play Store ("In-App Purchases") and are subject to the respective app store's billing terms and conditions.
  3. Automatic Renewal: Your Subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

  4. Cancellation: You may cancel your Subscription at any time through your Account settings (for Web purchases) or via your Apple/Google ID subscription management settings (for In-App Purchases). Upon cancellation, your Pro Plan features remain active through the end of your current paid billing period, after which your Account transitions to the Free Plan.

  5. Price Adjustments: Sorcery Studio reserves the right to modify Subscription fees. You will receive at least 14-day notice via email or in-app notification before any price adjustment taking effect for your next renewal period.

6. Acceptable use and user responsibilities

  1. You agree to use the Service strictly in compliance with applicable laws and these Terms.

  2. You agree not to:

    • Misuse the Service, introduce malware, or engage in automated data scraping, spamming, or system flooding.

    • Reverse engineer, decompile, disassemble, copy, modify, recreate, resell, or redistribute the Application, its source code, or its underlying architecture.

    • Attempt to gain unauthorized access to our systems, servers, or other user accounts.

    • Store or transmit content that is illegal, defamatory, or infringes upon the intellectual property or privacy rights of third parties.

7. Intellectual property and user feedback

  1. Ownership by Sorcery Studio: The Application, brand name simplido, visual design, codebases, user interfaces, documentation, trademarks, and associated intellectual property are the exclusive property of Sorcery Studio Grzegorz Godlewski. Except for the limited right to use the Service under these Terms, no title or ownership rights are transferred to you.

  2. User Content Ownership: You retain full ownership of all User Content you input, store, or organize within simplido. Sorcery Studio claims no ownership over your content.

  3. Operational License: You grant Sorcery Studio a limited, non-exclusive, world-wide, royalty-free license solely to host, back up, transmit, and display your User Content as necessary to provide, maintain, and secure the Service for you.

  4. Unsolicited Feedback: If you voluntarily submit suggestions, feature requests, or feedback regarding simplido, you agree that Sorcery Studio may freely use, implement, and commercialize such feedback to improve the Service without any compensation, attribution, or financial obligation to you.

8. Service Level Agreement (SLA) and maintenance

  1. Availability Target: Sorcery Studio strives to maintain an operational service uptime of 99.5% for the Application in each calendar month.

  2. Maintenance Prerogative: We reserve the right to perform scheduled system maintenance, security updates, and infrastructure upgrades. We will make reasonable efforts to announce scheduled downtime in advance via email or in-app notices.

  3. External Dependencies: Service targets do not apply to downtime or service degradation caused by force majeure events, major cloud provider infrastructure failures, telecommunication line outages, or third-party store disruptions outside our direct control.

9. Disclaimer of warranties and limitation of liability

  1. "AS IS" Provision: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  2. Exclusion of Consequential Damages: To the maximum extent permitted by law, Sorcery Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or operational interruptions, arising from or connected to your use of or inability to use the Service.

  3. Liability Cap: Sorcery Studio’s maximum aggregate liability arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to Sorcery Studio for access to the Service in the twelve (12) months preceding the incident giving rise to the claim. For Users on the Free Tier, our total liability shall be capped at zero ($0) dollars, to the fullest extent permitted by applicable law.

10. Inactivity, suspension, and termination

  1. Termination by User: You may stop using the Service and delete your Account at any time via the Account Management panel.

  2. Suspension or Termination for Cause: We reserve the right to suspend or terminate your Account immediately if you breach these Terms or engage in activities that jeopardize the security or integrity of our systems.

11. Governing law and dispute resolution

  1. Governing Law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of Poland, without regard to conflict of law principles.

  2. Amicable Resolution: Before initiating any formal legal proceeding, both parties agree to attempt in good faith to resolve any dispute, claim, or controversy through direct, informal negotiations via email.

12. Modifications to terms

  1. Sorcery Studio reserves the right to modify or update these Terms at any time to reflect product evolution, technical changes, or legal requirements.

  2. We will notify you of significant updates at least 14 days before they take effect by sending an email to your registered email address or displaying a prominent notification within the Application.

  3. Your continued use of simplido after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the new terms, you must stop using the Service and may delete your Account prior to the effective date.

13. Entire agreement

These Terms represent the entire understanding between you and Sorcery Studio regarding simplido and supersede all previous arrangements or understandings, written or verbal.

BY ACCESSING OR USING SIMPLIDO, YOU CONFIRM AND AGREE TO COMPLY WITH THESE TERMS AND CONDITIONS.
